Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CareLX home health agency management platform provided by Loffa Interactive Group ("CareLX," "we," "our," or "us"). Please read these terms carefully before using our services.
1. Acceptance of Terms
By accessing or using the CareLX platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use our services.
These terms apply to all users of the platform, including agency administrators, caregivers, clients, and family members. Additional terms may apply to specific features or services, and will be presented to you at the time of access.
2. Description of Service
CareLX is a cloud-based home health agency management platform that provides tools for caregiver management, scheduling, billing, payroll, compliance tracking, client care plan management, and related healthcare operations.
The platform is designed for use by licensed home health agencies and their authorized personnel. CareLX is not a healthcare provider and does not provide medical advice, diagnosis, or treatment.
We continuously improve the platform and may add, modify, or remove features at any time. We will provide reasonable notice of material changes that affect your use of the service.
3. Account Registration & Security
To use CareLX, your agency must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must provide accurate and complete information during registration and keep your account information up to date. Agency administrators are responsible for managing user access and permissions within their organization.
You must immediately notify us of any unauthorized use of your account or any other security breach. CareLX will not be liable for any loss arising from unauthorized use of your account where you have failed to maintain adequate security.
4. Authorized Use
You may use CareLX only for lawful purposes related to the management and operation of your home health agency. You agree not to use the platform in any way that violates federal, state, or local laws, including HIPAA regulations.
You may not: (a) attempt to gain unauthorized access to any part of the platform; (b) interfere with or disrupt the platform or its servers; (c) reverse engineer, decompile, or disassemble any part of the software; (d) use the platform to store or transmit malicious code; or (e) sublicense, resell, or redistribute access to the platform.
You are responsible for ensuring that all users within your organization comply with these terms and with all applicable healthcare regulations.
5. Data Ownership & Licensing
You retain full ownership of all data you enter into CareLX, including client records, caregiver information, schedules, billing data, and all other agency content ("Your Data").
You grant CareLX a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the platform services. We will not access, use, or disclose Your Data except as necessary to operate the platform, provide support, or comply with legal obligations.
Upon termination of your account, you may request an export of Your Data in a standard format. We will retain Your Data for a reasonable period following termination to facilitate data export and comply with legal retention requirements.
6. Protected Health Information
CareLX processes Protected Health Information (PHI) on behalf of covered entities (your agency) as a Business Associate under HIPAA. The handling of PHI is governed by a separate Business Associate Agreement (BAA) between your agency and CareLX.
You are responsible for ensuring that you have obtained all necessary consents and authorizations from clients and their families for the collection and processing of PHI through the CareLX platform.
In the event of a breach of unsecured PHI, CareLX will notify your agency in accordance with HIPAA Breach Notification requirements and the terms of your BAA.
7. SMS / Text Messaging
CareLX offers optional SMS text messaging on behalf of the home care agency you have a relationship with. Messaging is opt-in: you will only receive texts if you provide your mobile number and affirmatively consent (by checking the SMS consent box or enabling text messaging in your account settings). Consent to receive texts is not a condition of using CareLX or of employment, care, or any service.
Messages may include shift offers and confirmations, schedule changes, visit reminders, "caregiver on the way" status updates, account and setup reminders, occasional agency broadcasts (such as weather or closure notices), and replies to questions you send us. Message frequency varies based on your activity. Message and data rates may apply.
You may opt out at any time by replying STOP to any message (you will receive one confirmation), or by turning off text messaging in your account settings. Reply HELP for assistance. 8. Service Availability & Support
We strive to maintain 99.9% uptime for the CareLX platform. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice.
Technical support is available during business hours via email and in-app messaging. Priority support may be available under certain subscription plans.
We are not responsible for service interruptions caused by factors outside our control, including internet connectivity issues, third-party service outages, or force majeure events.
9. Fees & Payment
Subscription fees are based on your selected plan and are billed monthly or annually as agreed. Current pricing is available on our pricing page or through your sales agreement.
All fees are non-refundable except as required by law or as otherwise specified in your service agreement. We reserve the right to modify pricing with 30 days' advance notice.
If payment is not received within 30 days of the due date, we may suspend access to the platform. Suspended accounts will be reactivated upon receipt of full payment.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARELX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO CARELX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
CareLX is a software platform and is not responsible for clinical decisions, care outcomes, or regulatory compliance of your agency. You remain solely responsible for the quality of care provided by your agency.
11. Termination
Either party may terminate the service agreement with 30 days' written notice. You may also cancel your account at any time through your account settings.
We may terminate or suspend your account immediately if you violate these terms, fail to pay fees, or if continued operation would compromise the security of the platform or other users' data.
Upon termination, your access to the platform will cease. You may request a data export within 30 days of termination. After 90 days, Your Data will be permanently deleted in accordance with our data retention policy.
12. Changes to Terms
We may update these Terms of Service from time to time. When we make material changes, we will provide at least 30 days' notice via email or in-app notification.
Your continued use of CareLX after the effective date of any changes constitutes acceptance of the updated terms. If you do not agree to the changes, you may terminate your account.
13. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising from these terms or your use of CareLX will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
